Terms and Conditions of Use

These Terms and Conditions ("Terms") govern the access and use of services offered by Juciva ("the Agency", "we", "our") through the website https://www.juciva.com and any other associated digital medium or contract.
By contracting or using our services, the Client ("You", "the Client") fully accepts these Terms. If you do not agree, you must refrain from using the services.
1. Purpose
Juciva provides services for creating voice agents with artificial intelligence, WhatsApp automation, and custom software consulting or development for businesses.
All services are provided under a B2B (business-to-business) model. They are not directed at final consumers.
2. Terms of use
- The Client agrees to use the services only for lawful purposes and in accordance with applicable legislation.
- Juciva reserves the right to suspend or cancel the service in case of any misuse, unauthorized resale, or breach of these Terms.
3. Intellectual property
- All algorithms, models, interfaces, documentation, designs, source code, and materials developed by Juciva are the exclusive property of the Agency, unless otherwise agreed in writing.
- The Client retains ownership of their data and contributed materials, but grants Juciva a non-exclusive and limited license to use them for the purpose of providing the contracted services.
- Reproduction, modification, redistribution, or unauthorized commercial use of any part of Juciva's technology or materials is strictly prohibited.
4. Confidentiality and data protection
- Both parties commit to maintaining strict confidentiality of all technical, commercial, or strategic information to which they have access during the contractual relationship.
- Juciva will not share Client information with third parties without prior consent, except by legal obligation or requirement of competent authority.
- Personal data processing will be carried out in accordance with the Federal Law on Protection of Personal Data Held by Private Parties (Mexico) and other applicable regulations in Latin America.
5. Limitation of liability
- Juciva provides its services "as is" and "as available".
- It does not guarantee specific results nor the total absence of errors, interruptions, or technical failures.
- In no case will Juciva be responsible for indirect damages, data loss, loss of profits, or damages arising from the use or inability to use the services.
- Juciva's maximum liability to the Client will be limited to the amount actually paid for the service that gave rise to the claim.
6. Refunds, cancellations, and validity
- Payments made for services rendered, in progress, or customized are non-refundable, except by express written agreement.
- Subscriptions or recurring plans may be canceled with 15 calendar days' prior notice before the next billing period.
- Any project with deliverables will be considered completed upon fulfillment of the scope defined in the commercial proposal or contract.
7. Prohibitions
The Client may not:
- Reuse or resell products, scripts, or models created by Juciva without written authorization.
- Use the services for illegal, fraudulent activities or activities that violate third-party rights.
- Interfere with the security or operation of Juciva's technological platforms.
8. Modifications
Juciva may update these Terms at any time. Modifications will take effect once published on the website.
9. Applicable law and jurisdiction
These Terms will be governed and interpreted in accordance with the laws of the United Mexican States, and any dispute will be submitted to the competent courts of Mexico City, with both parties waiving any other jurisdiction that may correspond to them.
